1. Definitions

  • Client: The individual or organization engaging ACD Solutions for logo design and branding services.

  • ACD Solutions: The design firm providing professional logo creation, branding guidance, and related creative services.

  • Project: The specific logo design work, revisions, or deliverables outlined in the project proposal or agreement.

  • Deliverables: Any logo designs, branding assets, style guides, or other materials produced as part of the logo design services.

2. Engagement of Services

2.1. The Client agrees to engage ACD Solutions for logo design services as specified in the project proposal or agreement.

2.2. ACD Solutions commits to delivering these services with creativity, professionalism, and reasonable effort within the agreed timelines.

3. Payment Terms

3.1. Payment for logo design services will be outlined in the project proposal or agreement.

3.2. ACD Solutions may require an initial deposit or milestone-based payments as detailed in the agreement.

3.3. Any additional design requests or changes beyond the agreed scope will require written approval and may incur additional charges.

3.4. Transactions will appear on the Client’s statement as acdsolutionsllc.us.

4. Project Timeline

4.1. ACD Solutions will provide an estimated timeline for the logo design project. Adjustments may occur due to unforeseen circumstances or delays caused by the Client.

5. Revisions and Feedback

5.1. The Client may provide feedback and request revisions as outlined in the project proposal. Revisions outside the agreed scope may incur additional fees.

6. Ownership and Rights

6.1. Upon full payment, the Client will own the final logo design and related deliverables, excluding ACD Solutions’ proprietary design tools or methodologies.

6.2. ACD Solutions may showcase non-confidential aspects of the logo project in its portfolio or marketing materials unless otherwise agreed in writing.

7. Confidentiality

7.1. Both parties agree to keep all proprietary, sensitive, or confidential information shared during the project private.

7.2. ACD Solutions will not disclose the Client’s branding concepts or strategic materials to third parties without written consent.

8. Termination

8.1. Either party may terminate the project with written notice. The Client is responsible for payment for work completed up to the termination date, including any non-refundable fees.

8.2. Completed deliverables up to the termination date will be provided to the Client, and ACD Solutions will cease further services.

9. Liability

9.1. ACD Solutions is not responsible for any business outcomes resulting from the use of the logo or branding materials.

9.2. The Client agrees to indemnify and hold ACD Solutions harmless from any claims, damages, or losses arising from the use of the logo or branding assets.

10. Governing Law

10.1. This agreement shall be governed by the laws of the United States. Any disputes will fall under the jurisdiction of the appropriate U.S. courts.
